Legal Terms for SHRM Labs’ WorkplaceTech Accelerator Program Application

By submitting this application to participate in the [2025 WorkplaceTech Accelerator] (the "Program") operated by [SHRM] ("We," "Us," "Our"), you ("Applicant") agree to the following terms and conditions. Please read these terms carefully before submitting your application. You represent that you are of legal age, and if you are submitting an application on behalf of an organization, you represent that you can, and do, accept these terms on behalf of the organization as well. You further agree that, except to the extent expressly provided herein, the Program is governed by our posted Terms of Use and Privacy Policy.

1. Data Collection and Use

1.1 Data Submission: By submitting your application and associated documents, you consent to the collection, storage, and use of any data you provide, including but not limited to company information, financial data, personal data of representatives, and other relevant business details (collectively, “Data”).

1.2 Purpose of Data Use: The Data submitted will be used for evaluating your application, determining eligibility for the Program, and, if selected, facilitating your participation in the Program. We may also use the Data to improve our services, assess trends, and develop content related to the Program.

1.3 Data Sharing: We may share your Data with our partners, mentors, and third-party service providers who assist in the operation and evaluation of the Program. These third parties are obligated to maintain confidentiality and use the Data only for the intended purposes of the Program.

2. Intellectual Property Rights

2.1 Ownership: You retain all rights, title, and interest in and to any intellectual property, data, or proprietary information that you submit as part of your application, subject to the licenses granted herein.

2.2 License to Use Data: By submitting the application, you grant Us and our affiliates a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, copy, modify, distribute, and display your Data solely for the purposes outlined in these terms and in connection with the Program.

3. Confidentiality

3.1 Confidential Information: We agree to treat any confidential or proprietary information provided in your application as confidential and to use it solely for the purposes of evaluating your application and, if selected, for the Program.

3.2 Exclusions: Confidential Information does not include information that:

      (a) is publicly known at the time of disclosure;
      (b) becomes publicly known through no fault of ours;
      (c) is lawfully received from a third party;
      (d) is independently developed without reference to the Confidential Information; or
      (e) is required to be disclosed by law.

4. Data Protection

4.1 Compliance: We will handle and process all personal data in accordance with our Privacy Policy and applicable data protection laws and regulations.

4.2 Security: We implement technical and organizational measures designed to safeguard Data from unauthorized access, loss, or disclosure.

5. Termination and Data Retention

5.1 Retention: We will retain your Data for as long as necessary to evaluate your application and for the duration of your participation in the Program. After the Program concludes, we may retain certain Data for legal, business, or archival purposes.

5.2 Withdrawal: You may request the deletion or modification of your Data at any time by contacting innovate@shrmlabs.com, provided that we may retain Data pursuant to any legal obligations or other legitimate business or archival needs.

6. Amendments

We reserve the right to modify these terms at any time. Any changes will be communicated to you, and continued participation in the Program or use of our services after such changes constitutes acceptance of the modified terms.
